IEPF Claims and Refunds

Investor Education & Protection Fund (IEPF)

Investor Education & Protection Fund (IEPF) is a government initiative designed to safeguard the interests of investors. Established under the Companies Act, 1956, and later revised under the Companies Act, 2013, the IEPF aims to promote investor awareness and provide refunds for unclaimed dividends, shares, matured debentures, and other financial entitlements.

What is IEPF?

The IEPF is a fund managed by the government to hold unclaimed dividends, shares, and other financial assets that have remained unclaimed for seven consecutive years. Companies are required to transfer such unclaimed assets to the IEPF, ensuring investors can claim them back through a formal process.

Key Provisions of the Companies Act, 2013:

  • Section 124(1): Companies must transfer unclaimed dividends to a special Unpaid Dividend Account within 30 days of the declaration, and transfer them to the IEPF after 7 years.
  • Section 124(6): Shares, along with unclaimed dividends, are transferred to the IEPF after seven years of non-claim.

Why IEPF Claims Matter?

In recent years, a significant amount of funds—over INR 5,685 Crores—has been transferred to the IEPF, with estimates suggesting that unclaimed shares are valued at around INR 50,000 Crores. Investors can reclaim these funds, but the process can be complex, involving multiple steps and strict compliance requirements.
The IEPF Claim Process: To reclaim your shares or dividends from the IEPF, follow these steps:
  1. Submit Form IEPF-5 on the Ministry of Corporate Affairs portal, providing details such as:
    • Demat account number
    • Applicant and company information
    • Details of shares and dividends to be claimed
  2. Send the Claim to the Company’s IEPF Nodal Office: After submitting Form IEPF-5, send a signed copy to the company’s IEPF office along with relevant documentation.
  3. Verification Report: The company must verify the claim within 15 days and submit the report to the IEPF authority.
  4. Claim Decision: The IEPF Authority will review the claim and make a decision within 60 days of receiving the verification report.

Common Mistakes in the Claim Process:

  • Mismatched applicant details (name, date of birth, PAN number)
  • Incorrect Aadhar card or passport details for foreign citizens
  • Errors in selecting Rule 7 of IEPF rules (e.g., for deceased shareholders)
  • Incorrect folio numbers or share details
  • Wrong bank or demat account information
